CONCEPT OF CORPORATE CONTRACT IN THE CONTEXT OF THE CIVIL LEGISLATION REFORM

Abstract
The article is devoted to the questions concerning the management of the corporation. The concept of a corporate contract was considered. The strengths and possible negative consequences of this novel in Russian corporate law were analyzed. There is an evaluation of the corporate structure of the contract in the historical and comparative aspects in this paper. The foreign experience and previous control of the relations on the management of economic society is submitted by the examples of JSC and LLC. There are reflected the risks related to the participation of third parties in the corporate agreement and a high level of confidentiality of such agreements.
